A recent report by proxy advisor RiskMetrics Group lists nine questions investors can use to evaluate a company's executive compensation program to determine how to vote on a management say-on-pay proposal. They cover the pay-for-performance link, employment agreements, severance and change-in-control, peer group, performance criteria and thresholds, pay disparities, perquisites, disclosure and board responsiveness. Hundreds of companies participating in TARP must submit their pay programs to a shareholder vote and at least 18 other companies have voluntarily adopted say-on-pay. (Select News, 2 Apr 2009)
